Terms and Conditions of Sale

These terms and conditions of sale ("Terms and Conditions of Sale") govern the contractual relationship between PRODIGE IO, an SAS with share capital of 1 000 €, whose registered office is located at 6 rue d'Armaille, 75017 Paris, registered with the RCS (French Trade and Companies Register) of Paris under number 103 926 820 (SIRET 103 926 820 00012) — "the Provider" — and any professional client ("the Client") wishing to benefit from its services (brand creation, websites, content, translation, audio, marketing and distribution).

Any order implies unconditional acceptance of these Terms and Conditions of Sale.

1. Purpose and scope

The Terms and Conditions of Sale apply to all services offered by the Provider to professional clients acting within the scope of their business. They prevail over any other document of the Client, unless otherwise agreed in writing. The Provider reserves the right to amend them; the applicable Terms and Conditions of Sale are those in force on the date of the order.

2. Quote and order

Each service is the subject of a detailed quote, free of charge and without obligation. The quote specifies the nature of the services, the price and the indicative timeframes.

The order is firm as from the written validation of the quote by the Client (signature, agreement by e-mail, or payment of the deposit) and the receipt of the deposit. The quote is valid for 30 days from its issuance.

3. Prices

Prices are stated in euros and are understood as excluding tax (HT); VAT at the rate in force (20 %) is added where applicable.

"From" prices constitute a starting basis, adjusted according to the actual scope defined in the quote. Any service not provided for in the quote is the subject of an amendment.

4. Payment terms

Unless otherwise stipulated in the quote:

  • 50 % deposit on order, upon validation of the quote;
  • the balance (50 %) on delivery of the final items.

For recurring services (subscriptions, distribution, monthly marketing), payment is made monthly, in advance.

Payments are made by bank transfer. In the event of late payment, penalties at the rate of three times the statutory interest rate will be payable, as well as a fixed recovery indemnity of 40 € (professional clients, Articles L.441-10 and D.441-5 of the French Commercial Code).

5. Performance timeframes

The timeframes communicated are indicative. The Provider endeavours to meet them but cannot be held liable for delays resulting from an event of force majeure or from a failure by the Client to fulfil its cooperation obligations (in particular late provision of content or validations).

6. Client's obligations

The Client undertakes to:

  • provide in good time all the information, content and access necessary for carrying out the services;
  • designate a contact person with validation authority;
  • respond to validation requests within reasonable timeframes.

The Client warrants that it holds the rights to the elements it provides (texts, images, trademarks) and indemnifies the Provider against any third-party claims in this respect.

7. Validation and revisions

Each deliverable is submitted for the Client's validation. Unless otherwise stated in the quote, the service includes two rounds of revisions. Any additional modification request, or any change of scope after validation, is the subject of an additional quote validated by the Client before execution.

In the absence of feedback from the Client within 15 days after delivery, the deliverable is deemed accepted.

8. Intellectual property of deliverables

The intellectual property rights in the final deliverables (logo, website, content) are transferred to the Client after full payment of the price. Until payment is received in full, the Provider retains all rights in the deliverables.

Excluded from the transfer are: the Provider's tools, methods, know-how and pre-existing elements, as well as third-party licences (fonts, image banks, software components) for which the Client must, where applicable, acquire the rights.

The Provider reserves the right to mention the work in its references and portfolio, unless the Client objects in writing.

9. Professional clientele

The Provider's services are intended exclusively for professional clients acting for the purposes of their business. Consequently, the right of withdrawal provided for by the French Consumer Code for the benefit of consumers does not apply to orders placed under these Terms and Conditions of Sale.

10. Liability

The Provider is bound by an obligation of means (best-efforts obligation). Its liability can only be incurred in the event of proven fault and is, in any event, limited to the amount of the sums actually paid by the Client in respect of the service concerned. The Provider is not liable for indirect damages (loss of business, of turnover, of image).

The Provider is not liable for the content provided by the Client nor for the use the latter makes of the deliverables after their delivery.

11. Confidentiality

Each party undertakes to keep confidential the information exchanged in connection with the service and not to disclose it to third parties, during the term of the contract and for 2 years after its termination.

12. Termination

In the event of a serious breach by one of the parties of its obligations, not remedied within 15 days after formal notice, the other party may terminate the contract as of right. Services already performed remain payable.

13. Force majeure

Neither party may be held liable for a breach resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code.

14. Personal data

The Client's data is processed in accordance with our Privacy policy.

15. Applicable law and dispute resolution

These Terms and Conditions of Sale are governed by French law.

In the event of a dispute, the parties shall endeavour to find an amicable solution. Failing agreement, any dispute shall fall within the exclusive jurisdiction of the courts within the jurisdiction of the Provider's registered office (Paris), including in the event of multiple defendants or third-party proceedings.
